Dislog Group announced on Friday that it had reached an agreement with Nacer Amrani, founder and majority shareholder of Megaflex SARL, to acquire a 75% stake in the company, rising to 100% by 2027. Megaflex specializes in the distribution and maintenance of automated systems and reagents used by medical analysis laboratories. The company is one of the main players in its sector in Morocco, and boasts 1,400 customer laboratories operating in the public and private sectors. In Morocco, it distributes world-class brands covering the main medical analysis disciplines, including Sysmex (world leader in hematology), Siemens and Illumina, specialist and world leader in genetic sequencing, according to a group press release.
This acquisition consolidates Dislog Group's position in the healthcare value chain.
Nadia Lahlou has also been appointed Director of Dislog Group's Medical Devices Division, and will manage Megaflex under the supervision of Nacer Amrani and Amine Tahiri, President of Dislog Group Healthcare, for the next three years.
Megaflex employs 72 people and intends to continue its development and growth through concrete synergies with other Dislog Group Health Care subsidiaries, which will enable it to (1) consolidate and strengthen its position in the in-vitro diagnostics market and (2) support the growth of the healthcare sector in Morocco.
Dislog Group was advised on the M&A side by Fintrust Capital, represented by Moncef Benzakour, and on the legal side by Maître Rachid Hilmi.
Nacer Amrani was advised by Arden Capital, represented by Amine El Azher as financial/M&A advisor, and by DLA Piper (Benoit De Monval and Kenza Belghiti Alaoui) on legal matters.
